Professional terms

Specific rules for professionals under Regulation (EU) 2019/1150 (P2B), EU/Spain e-invoicing and US sales tax nexus.

Data controller and service operator:

1. Legal framework

  • Regulation (EU) 2019/1150 (P2B) — promoting fairness and transparency for business users of online intermediation services.
  • Law 56/2007 — Information Society measures (Spanish e-invoicing).
  • Directive 2014/55/EU — e-invoicing in public procurement (B2B reference).
  • "Crea y Crece" Law (Law 18/2022) — mandatory B2B e-invoicing (phased).
  • EU 4/5 AMLDs — KYB.
  • Wayfair v. South Dakota (2018) — US sales tax economic nexus.

2. Who is a professional

Any person or entity acting habitually, in an organized manner and for profit in the purchase/sale of coins or precious metals.

3. Mandatory KYB

CIF/EIN, incorporation deed, representative. No professional listing without approved KYB. UBO identification under 5AMLD and the Corporate Transparency Act (US).

4. Invoicing

For users in Spain / EU

  • E-invoicing mandatory from the first sale, under Crea y Crece (once fully in force) and Spanish VAT rules.
  • Sequential numbering by the GSG system.
  • History via My account → Invoicing.

For users in the United States

  • Invoices with complete tax data (EIN, address).
  • GSG collects and remits state sales tax where it has nexus per South Dakota v. Wayfair (2018). The professional seller is responsible for their own nexus where applicable.

5. Commissions

Volume-tiered rates (configurable). Per Regulation (EU) 2019/1150 art. 5, remuneration terms are clearly disclosed and changes require at least 15 days' notice.

6. Suspension and restriction

Per P2B art. 4, GSG provides written, reasoned notice with 30 days' lead time before suspending or terminating a professional account, save for legal or security risks.

7. Advanced offers and reservations

  • Extended-time exclusive reservations.
  • Advanced counteroffers.
  • Bulk upload (CSV / API).
  • Multi-user per organization with internal roles.

8. Premium subscription

Available with specific benefits: included custody, moderation priority, no flat custody fee.

9. Internal dispute resolution for professionals

Per P2B arts. 11-12, GSG offers an internal complaint-handling system and mediation with an agreed mediator. For US professionals, the arbitration clause in the Terms applies to the extent enforceable.

10. Governing law

For EU/Spanish professionals, mandatory P2B and local rights apply. For US professionals, federal law and the law of [state: pending]. Last updated: 2026-06-01.
